Job Description


The Corporate Governance and Compliance Paralegal will manage a host of governance, document management and plan administration, regulatory compliance responsibilities and delivery of legal services on behalf of the Company.

Duties and Responsibilities:

Essential duties and responsibilities include but are not limited to those listed below:

Corporate Governance:
* Draft and maintain organizational documents, preparing board-related meeting materials, reports, resolutions, written consents, minutes and related documents and communications
* Assist with the formation, maintenance (e.g., annual reports, authorizations to do business) and dissolution of legal entities for Company entities and affiliates
* Facilitate recurring SEC and public listing-related filings, reports and compliance-related certifications, questionnaires and documents

Contract Support:
* Support and facilitate the review and execution of agreements (e.g. NDAs, commercial contracts, vendor agreements, corporate transactional documents)

Document Management:
* Maintain database of Company records, agreements, documents, compliance policies and procedures
* Assist with the administration of the management equity and other compensation related programs

Litigation and Complaint Support:
* Assist with collection and management of information in response to document filings and requests (complaints, diligence, subpoenas, etc.)
* Coordinate and monitor tracking of litigation, coordinate responses, etc.

* Bachelor's degree and/or paralegal degree
* 5-8 years' experience as a paralegal (in a law firm, in-house legal department, or similar environment), preferably providing services for or on behalf of a public company
* Ability to manage external counsel and third party vendors
* Demonstrated attention to detail, with excellent analytical and organizational skills
* Ability to initiate, prioritize and manage multiple projects simultaneously, meet and anticipate frequent deadlines in a timely manner, and manage projects independently from start to finish
* Excellent proof reading skills and the ability to check documents for accuracy, clarity and consistency
* Strong verbal and written communication skills
* Excellent interpersonal skills and the ability to handle sensitive and confidential information
* Thorough familiarity with Microsoft Office apps, including Word, PowerPoint, Excel and Outlook
* Prior experience with Board Communications Platforms such as Diligent
